Terms of Service

1. Acceptance of Terms

By creating an account or accessing Cloud Shield ("the Platform"), provided by Cloud Shield Solutions LLC ("we," "us"), you agree to be bound by these Terms. If you accept these Terms on behalf of a company, you confirm you have authority to bind that entity.

Using the Platform constitutes acceptance of these Terms, even without creating an account.

2. Nature of Service (AI Disclaimer)

You acknowledge:

• We do not guarantee 100% accuracy. We strive for accuracy but cannot guarantee completeness or error-free analysis.
• Our analysis may be incomplete, outdated, or contain errors.
• You are solely responsible for verifying findings before acting on them.
• We are not liable for fines, penalties, or damages resulting from reliance on our reports.

3. User Responsibilities

You agree not to upload:

• Illegal content
• Malware
• Data you are not legally authorized to process

You are responsible for your credentials, API keys, and compliance with applicable laws.

4. Subscription & Billing

Subscriptions are billed monthly or annually in advance.

Enterprise onboarding fees are non-refundable once onboarding services commence (e.g., once onboarding services begin or setup work is initiated).

No refunds are provided for partial months unless required by law.

5. Subscription Plans

• Micro: $199/month – 150 documents/month
• Starter: $337/month – 250 documents/month
• Professional: $674/month – 400 documents/month
• Enterprise: Custom pricing – Unlimited documents

We may adjust pricing with 30 days' notice. Annual plans receive a 15% discount.

6. Acceptable Use

You agree not to:

• Use the Platform illegally
• Upload malicious code
• Access accounts without authorization
• Interfere with the Platform
• Reverse engineer or attempt to bypass controls
• Upload data you cannot legally process
• Violate privacy laws using the Platform

7. Intellectual Property

The Platform is owned by Cloud Shield Solutions LLC.

You retain ownership of your documents. You grant us a limited license to process and store your data solely to provide the Platform.

Your documents are not used to train public AI models.

8. Limitation of Liability

8.1 Provided "AS IS"

The Platform is provided AS IS without warranties of any kind.

8.2 We Do Not Guarantee:

• Detection of all compliance violations
• Error-free analysis
• Regulatory compliance
• Prevention of fines
• Accurate regulatory citations

8.3 Damages Excluded

We are not liable for:

• Regulatory fines or penalties
• Loss of profits, business, or data
• Third-party claims
• Breach notification costs
• Business interruption
• Missed violations or false positives

8.4 Maximum Liability

Our aggregate liability is limited to:

• The fees paid in the past 12 months or
• $10,000 USD

whichever is less.

9. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the Platform
• Your legal violations
• Your compliance decisions
• Your uploaded data
• Uploading PHI without a BAA
• Violations of HIPAA, GDPR, or other regulations

10. Termination

We may terminate or suspend your account for:

• Violations of these Terms
• Non-payment
• Fraud, abuse, or legal risk
• Regulatory requirements

You may terminate anytime. No refunds are provided unless required by law.

11. Governing Law

These Terms are governed by the laws of Minnesota, USA.

12. Arbitration & Class Action Waiver

Disputes must be resolved through binding arbitration via the AAA, except for:

• Intellectual property claims
• Small claims matters
• Emergency injunctive relief

You waive any right to participate in class actions.

You may opt out within 30 days by emailing: admin@netcloudshield.com

13. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.

14. Miscellaneous

• Entire Agreement
• Waiver does not waive future rights
• Severability
• No third-party beneficiaries
• Force majeure
• Export compliance
• Government-use restrictions
